About Our Client

Our client is a multi-national company that develops, owns and manages a diverse, integrated portfolio of properties. the Group has total assets of approximately $39.2 billion as at 31 March 2021.
Their assets range from residential, retail, commercial & business parks, to industrial & logistics in Southeast Asia, Australia, Europe and China. Their well-established hospitality business owns and/or operates serviced apartments and hotels in over 70 cities and 20 countries across Asia, Australia, Europe, the Middle East and Africa.

Job Description


In relation to the European Sponsor + REIT portfolios, actively participates and secures that:

  • Both intra group and commercial transactions are facilitated, coordinated and executed;
  • trusted working relationships with external law firms and service providers are maintained and coordinated;
  • Project management of larger legal projects is taken care of (e.g. corporate restructurings, debt refinancing, profit distributions etc.);
  • Insurance portfolio is kept up to date;
  • Risk awareness is created and present in the business departments and risk reporting is compiled and completed timely for the European business;
  • (Group) corporate governance policies are complied with and incorporated into local policies (where relevant);
  • Board Meeting Resolutions and Shareholders Resolutions are prepared and executed.

Corporate structure:
Manages the European Sponsor + REIT corporate structure and secures that relevant documentation is prepared and executed.

Transaction Management (Dutch):
Actively supports the Head of Legal + Business Development team on:

  • Establishing a legal engagement strategy, external legal scopes of work and teams for major project acquisitions and delivery.
  • Acquisitions, development, divestments, joint ventures, leasing and restructures generally.
  • Management of legal aspects of project delivery, including procuring and reviewing external advice.
  • Provide commercial guidance and input into strategic advice to the business.
  • Review planning, titling and subdivision strategy and issues.
  • Leases and development and sale agreements.
  • Construction contracts, consultancies, licence or access agreements and infrastructure agreements.
  • Assistance with project related insurance matters.
  • In consultation with external legal providers, develop and maintain simple and useful precedents for the business to save time, errors and costs, with a focus on 'Simpler, Shorter, Fairer'

Compliance + Company Secretarial:
In relation to the European Sponsor + REIT portfolios, actively secures that:

  • Company secretarial responsibilities (in relation to statutory board and investment committee requirements) are carried out
  • Regulatory compliance requirements are met and fully documented
  • All statutory documents are lodged by due dates
  • system and precedent improvements are made, including IT solutions, for simplified electronic recording, corporate databases and structure charts (and access for key business people) and easily fulfilling the above requirements

Risk Management (under supervision):
Assists in:

  • Risk awareness and risk identification of the group's activities
  • Reporting for group quarterly risk and litigation reviews
  • Documentation of all (regulatory) compliance requirements
  • Develop and maintain education programs which provide the business with relevant corporate information on duties and updates on changes in the law, particularly in respect of Directors and Senior Management risk and responsibilities

Insurance Risk Management (under supervision):
Leads the Group's insurance arrangements including renewals, broker contact and management and administration.
Assists in:

  • Risk awareness and risk identification of the group's activities
  • Reporting for group quarterly risk and litigation reviews
  • Documentation of all (regulatory) compliance requirements

The Successful Applicant

Competencies & Qualification:

  • Excellent command of Dutch and English, both verbal and written, and German language skills are an asset
  • Excellent report writing skills and be able to explain complex issues in a simplified way
  • Ability to quickly analyse data and compliance processes/practises, draw conclusions and make recommendations
  • Ability to negotiate with and advice C-suite/Senior Management and other stakeholders
  • Team player that is able to challenge and sound board with other team members
  • Ability to work independently with high degree of attention to detail
  • Able to establish and maintain excellent working relationship with staff and management
  • High level of integrity with a good eye for compliance challenges
  • Hands-on, pro-active and dedicated
  • Entrepreneurial attitude with some level of financial insight
  • Qualification in corporate law
  • Thorough (practical) knowledge of corporate governance affairs
  • Dutch qualified lawyer with 7+ years working experience in a law firm or multinational company, preferably experience within the real estate sector.
  • Prior similar/company secretary experience advantageous
